Terms of service

The agreement between Tarn and the businesses that use it. Plain where we could make it plain, precise where it has to be.

Current version Last updated October 1, 2026

In plain words

  • Your trial is free for 14 days and nothing is charged automatically when it ends.
  • You own your data. We use it only to run the Service for you.
  • Forecasts are estimates to help you plan, not financial, tax or legal advice.
  • You can cancel at any time; access continues to the end of the period you paid for.

1.The agreement

These Terms of Service (the “Terms”) are an agreement between Tarn Software Ltd (“Tarn”, “we”, “us”) and the business or person who creates a Tarn account (“you”). They govern your use of the Tarn website and cash-flow forecasting service (the “Service”).

If you accept these Terms on behalf of a business, you confirm that you have authority to bind it. If you do not agree to the Terms, do not use the Service.

2.Accounts and access

  • You must be at least 18 and use the Service for business purposes.
  • Keep your login details confidential and turn on multi-factor authentication. You are responsible for activity in your account.
  • You may invite team members and advisers. You are responsible for the access you give them, and you can remove it at any time.
  • Tell us promptly at hello@example.com if you believe your account has been accessed without permission.

3.Trials, plans and billing

New accounts start with a 14-day free trial. No payment card is needed, and nothing is charged when the trial ends. To keep using the Service, choose a plan.

  • Plans are billed monthly or yearly in advance, in US dollars, and renew automatically until cancelled.
  • Prices exclude applicable taxes, which we add where required.
  • Upgrades take effect immediately and are charged pro rata. Downgrades and cancellations take effect at the end of the current billing period.
  • Fees already paid are not refundable, except where the law requires or where we say otherwise in writing.
  • We will give at least 30 days’ notice before changing the price of your plan.

4.Bank and software connections

The Service reads data from banks and other software you choose to connect, through regulated data providers and published integrations. Our access is read-only: the Service cannot move money or make payments on your behalf.

You authorise us and our providers to access and import that data for the purpose of providing the Service. Connections depend on third parties, and we cannot guarantee that a particular bank or tool will always be available or that its data will be complete or on time.

5.Forecasts are not advice

Tarn produces forecasts, scenarios and alerts from your data and from assumptions you can see and change. They are estimates to support your planning. They are not financial, investment, tax, accounting or legal advice, and they do not guarantee future results.

You remain responsible for your business decisions. Where a decision is significant, we encourage you to review it with a qualified adviser.

6.Acceptable use

You agree not to:

  • use the Service for anything unlawful, fraudulent or harmful;
  • connect accounts you are not authorised to access;
  • probe, scan or test the Service’s security, except through our responsible disclosure process;
  • copy, resell or reverse-engineer the Service, or use it to build a competing product; or
  • interfere with the Service or with other customers’ use of it.

7.Your data

You keep all rights to the data you put into or connect to the Service (“Customer Data”). You give us a limited licence to host, process and display Customer Data only to provide, secure and support the Service for you.

You can export Customer Data at any time. After your account closes, we delete Customer Data within 30 days, except where the law requires us to keep it. How we handle personal information is described in our privacy policy.

8.Third-party services

The Service works with banks, ledgers, payroll and billing tools provided by other companies. Your use of those services is governed by their own terms, and we are not responsible for them.

9.Our intellectual property

Tarn owns the Service, including its software, design, text and trademarks. These Terms give you a non-exclusive, non-transferable right to use the Service during your subscription. If you send us feedback, we may use it without any obligation to you.

10.Confidentiality

Each party will protect the other’s confidential information with at least reasonable care, and use it only for the purposes of these Terms. This does not apply to information that is public, already known, independently developed or lawfully received from someone else.

11.Warranties and disclaimers

We will provide the Service with reasonable skill and care, and we aim for 99.9% monthly availability outside scheduled maintenance. Otherwise, to the extent the law allows, the Service is provided “as is” and “as available”, and we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement.

12.Limitation of liability

To the extent the law allows, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, even if it was advised of the possibility.

Each party’s total liability arising from these Terms is limited to the fees you paid for the Service in the twelve months before the event that gave rise to the claim. These limits do not apply to your payment obligations, to breaches of confidentiality, or to liability that cannot be limited by law.

13.Indemnity

You will defend and indemnify Tarn against third-party claims arising from your breach of these Terms or from data you connect without authority. We will defend and indemnify you against third-party claims that the Service, as we provide it, infringes their intellectual property rights.

14.Ending the agreement

You can cancel at any time from Settings, then Billing. We may suspend or end your access if you materially breach these Terms and do not fix the breach within 14 days of notice, or immediately where needed to protect the Service or other customers. Sections that by their nature should survive, including those on data, liability and governing law, continue after the agreement ends.

15.Governing law

These Terms are governed by the laws of the State of California, without regard to its conflict-of-law rules. The state and federal courts in San Francisco County, California have exclusive jurisdiction, unless the law where you are based gives you the right to bring a claim locally.

16.Changes to these Terms

We may update these Terms as the Service changes. We will post the new version here and update the date at the top. For material changes, we will email account owners at least 30 days before they take effect. Continuing to use the Service after that date means you accept the updated Terms.
